Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Luce Vistaa Technologies Pvt. Ltd. ("Luce Vistaa", "we", "us") and the subscriber ("Customer", "you"), governing your access to and use of our web-based optical CRM, POS billing, lab management, and related software platforms.

By signing an order form, registering for a demonstration, or accessing any Luce Vistaa service, you confirm that you have the legal authority to bind the optical store or commercial entity on whose behalf you act.

2. Description of Software & Practice Support

Luce Vistaa provides a multi-tenant, cloud-hosted practice management platform engineered specifically for optical retail stores, optometry clinics, and eyewear chains. Features include clinical refraction recording (OD/OS matrices), optical POS with GST invoicing, 6-stage lab order tracking, eyewear inventory ledgers, and customer recall messaging.

Clinical Responsibility Disclaimer: Luce Vistaa is an administrative, commercial, and workflow enablement platform. It does not provide clinical diagnoses, medical advice, or ophthalmic healthcare services. All optical examinations, refraction determinations, lens dispensing validations, and healthcare advice remain the sole professional responsibility of the licensed optometrist or ophthalmologist conducting the examination.

3. Data Ownership & Intellectual Property

Customer Data Ownership: You retain complete, unrestricted ownership of all patient records, optical prescriptions, inventory items, and financial transaction data entered into your tenant space ("Customer Data"). Luce Vistaa claims zero intellectual property rights over Customer Data.

Platform IP: The software platform, source code, database architecture, user interfaces, branding, and Luce Vistaa Academy curricula are the exclusive intellectual property of Luce Vistaa Technologies Pvt. Ltd..

4. Subscription Tiers, Billing & Renewals

Subscriptions are billed in Indian Rupees (INR) in advance on an annual or agreed periodic billing cycle. All prices are exclusive of applicable Indian Goods and Services Tax (GST) unless explicitly specified. Subscriptions automatically renew at the end of each billing cycle unless cancelled with 30 days written notice prior to the renewal date.

5. Data Portability & Termination

Upon termination of your subscription, you are entitled to export your complete customer list, spectacle refraction records, and inventory ledgers via standard spreadsheet (CSV/Excel) exports. We maintain your data in a secure, export-accessible state for thirty (30) days post-termination, following which the tenant data is permanently deleted in accordance with our DPDP Act 2023 data retention protocols.

6. Limitation of Liability

To the maximum extent permitted under applicable law, in no event shall Luce Vistaa Technologies Pvt. Ltd., its directors, employees, or founders be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, optical sales downtime, or data corruption. Our total aggregate liability arising out of or related to these Terms shall not exceed the subscription fees paid by you to Luce Vistaa during the twelve (12) months preceding the incident.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Mumbai, Maharashtra, India.
